Robert Dawson and TFE Games Holdings have claimed roughly $84 million in secured debt against Intrepid Studios — a number that could give TFE an enormous advantage in a second Article 9 foreclosure through a credit bid. But Steven Sharif's attorneys are challenging whether all of that debt is actually secured. Court filings now show that many of the original promissory notes were documented as unsecured, while Dawson and TFE acknowledge that the versions now described as the “Secured Notes,” along with the purported 2022 Security Agreement, were executed by Intrepid on December 15, 2025. There are also questions involving the May 2024 UCC filing, the June 2024 Master Settlement Agreement, later conversion amendments, corporate approval of the alleged all-assets lien, and how the claimed secured balance grew from roughly $45 million listed in a 2024 agreement to more than $84 million. Judge Linda Lopez has now ordered an independent review of the loan documents to determine which notes are actually secured and how much secured debt Intrepid really owes. Any future foreclosure will also receive neutral oversight. That number could determine how much TFE can credit bid — and potentially who can realistically compete for control of Ashes of Creation.
